BAYFLOW END USER LICENCE AGREEMENT (EULA)

Version 1.0, effective 21 October 2026

PLEASE READ THIS AGREEMENT CAREFULLY. BY INSTALLING, COPYING OR USING BAYFLOW YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE. IF YOU ACCEPT ON BEHALF OF A COMPANY OR OTHER ORGANISATION, YOU CONFIRM THAT YOU ARE AUTHORISED TO BIND IT, AND "YOU" MEANS THAT ORGANISATION.

1. PARTIES AND DEFINITIONS

"Licensor", "we", "us": Petro Tsapenko, a private individual resident in Ukraine, contact: [email protected].

"Software": the BayFlow desktop application, including the executable, installer, bundled reference data, documentation and any Updates we provide to you, but excluding Third-Party Components (section 9).

"Licence": one paid licence for the Software, as shown on your order confirmation.

"Named User": the one person to whom a Licence is assigned.

"Update Period": the period of updates included with your purchase or renewal, as stated on your order confirmation (for example 12 months from the purchase date).

"Updates": new versions of the Software that we release during your Update Period.

2. PURCHASES AND RESELLER

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, invoicing, taxes and refunds are governed by Paddle's buyer terms and our Refund Policy published on our website.

3. LICENCE GRANT

3.1 Subject to these terms and to payment of the applicable fee, we grant you a non-exclusive, non-transferable, perpetual licence to install and use the Software for your own personal or professional use.

3.2 Each Licence covers one Named User, who may install the Software on up to two (2) computers that they personally use (for example an office computer and a laptop). The Software may not be used by more people than the number of Licences you have purchased.

3.3 You may reassign a Licence to a different Named User (for example when an employee leaves), as long as the previous Named User stops using the Software.

3.4 You may make backup copies of the installer for your own use.

3.5 The Licence is perpetual for every version you received during your Update Period. When the Update Period ends you may keep using those versions; access to later Updates requires a renewal.

4. RESTRICTIONS

Except as expressly permitted by this Agreement or by mandatory law, you must not:

  • (a) share, publish, sell, rent, lend, sublicense or otherwise distribute the Software, its installer, or your personal download links to anyone outside your Licences;
  • (b) use the Software for more Named Users than the Licences you have purchased;
  • (c) modify, decompile, disassemble or reverse engineer the Software, except to the extent that applicable law expressly permits it, or as allowed for Third-Party Components under section 9;
  • (d) remove or alter any copyright, trademark or licence notices;
  • (e) use the Software to build a competing product.

5. OWNERSHIP

The Software is licensed, not sold. We and our licensors keep all rights, title and interest in the Software, including all intellectual property rights. All rights not expressly granted to you are reserved.

6. NO NAVIGATIONAL OR SAFETY APPROVAL - IMPORTANT

6.1 The Software is a planning and review aid for stowage, BAPLIE EDI and dangerous goods data. It is NOT a class-approved loading computer, stability or lashing program, and it is NOT certified for compliance with SOLAS, the IMDG Code or any other regulation.

6.2 Results depend on the data you load, which may be incomplete or wrong. You are solely responsible for checking all results, including stowage positions, weights, dangerous goods segregation and reefer or out-of-gauge data, against the original documents, the vessel's approved systems and the applicable regulations, before relying on them.

6.3 The Software does not replace the professional judgement of the master, chief officer, planner or any other responsible person.

7. WARRANTY DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. LIMITATION OF LIABILITY

8.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CARGO, VESSEL TIME OR BUSINESS, ARISING OUT OF OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THEIR POSSIBILITY.

8.2 OUR TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

8.3 Nothing in this Agreement limits liability that cannot be limited by law, or any rights you have as a consumer under mandatory law.

9. THIRD-PARTY COMPONENTS

The Software includes open-source components (for example the Qt framework and PySide6, Python, Polars, lxml, openpyxl and pdfplumber). They are licensed to you under their own licences, listed in the "licenses" folder and in licenses/THIRD_PARTY_NOTICES.txt in the installation folder. Nothing in this Agreement restricts the rights those licences give you. In particular, Qt and PySide6 are used under the GNU Lesser General Public License v3, and you may replace or modify those libraries in your installation and reverse engineer the Software as far as needed to debug such modifications.

10. PRIVACY

The Software processes your files locally on your computer. It does not upload your EDI files, stowage plans, cargo data or settings to us. If the Software checks for updates, it only requests public version information and sends no personal data or file contents.

11. TERMINATION

This Agreement ends automatically if you breach it, or if your purchase is refunded or charged back. When it ends you must stop using the Software and delete all copies. Sections 5 to 8 and 11 to 13 survive termination.

12. EXPORT AND SANCTIONS

You must not use, export or re-export the Software in breach of applicable export control or sanctions laws, or make it available to any person or territory subject to such sanctions.

13. GENERAL

13.1 This Agreement is governed by the laws of Ukraine, without regard to its conflict-of-law rules. This does not take away mandatory consumer protections of the country where you live.

13.2 If any provision is found unenforceable, the rest remains in force.

13.3 This Agreement, together with your order confirmation and our Refund Policy, is the entire agreement about the Software. We may publish updated versions of this Agreement for future versions of the Software; the version shipped with each version of the Software applies to it.

13.4 You may not assign this Agreement without our written consent, except together with the transfer of your whole business.
